Terms of Service

This agreement is between:

• "Opus Lingua" (also referred to as "we", "us", or "our") - the provider of the Service, located in Spain.
• "User" (also referred to as "you" or "your") - any individual or legal entity using the Service.
• "Service" - the Opus Lingua web application and all related translation services, APIs, and features.
• "Content" - any files, text, data, or materials uploaded to or generated by the Service.
• "Credits" - the virtual currency used to pay for translation services within the platform.

By accessing or using the Service, you confirm that:

• You are at least 16 years old (or the age of majority in your jurisdiction)
• You have the legal capacity to enter into binding contracts
• If acting on behalf of an organization, you have authority to bind that organization to these Terms
• You have read and understood our Privacy Policy

If you do not agree to these Terms, you must not use the Service.

Opus Lingua provides AI-powered translation services specifically designed for:

• Microsoft Dynamics 365 Business Central Excel translation files
• XLIFF (XML Localization Interchange File Format) files
• CRM Translations ZIP packages

Our Service uses artificial intelligence technology provided by Anthropic (Claude AI) to perform translations. The Service is provided "as available" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

4.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You may register using:

• Email and password
• Google OAuth
• Microsoft OAuth

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

4.3 Account Termination

You may delete your account at any time through your Account Settings. We may suspend or terminate your account for violation of these Terms, with or without notice depending on the severity of the violation.

5.1 Credit System

• Translation services are paid for using Credits
• Credits are deducted based on the number of text segments translated
• New accounts receive complimentary starter Credits
• Credits do not expire while your account remains active

5.2 Pricing

• Current pricing is displayed on the Credits page
• All prices are in EUR and include applicable taxes (VAT)
• We reserve the right to change pricing with 30 days' advance notice
• Existing Credit balances are not affected by price changes

5.3 Payments

• Payments are processed securely through Stripe
• We accept major credit cards, debit cards, and supported local payment methods
• Invoices are provided for all purchases and available in your Account Settings

5.4 Refunds

6.1 Withdrawal Period

The withdrawal period expires 14 days after the day of the purchase. To exercise your right of withdrawal, you must inform us of your decision by an unequivocal statement (e.g., email to support@opuslingua.com).

6.2 Exceptions

The right of withdrawal does not apply if:

• You have expressly consented to begin using the service during the withdrawal period AND
• You have acknowledged that you lose your right of withdrawal once the service is fully performed

Note: When you use Credits for a translation, you consent to immediate performance and acknowledge loss of withdrawal rights for those specific Credits.

6.3 Legal Guarantee

Under EU law, consumers are entitled to a legal guarantee of conformity for digital services. If the Service does not conform to this agreement, you have the right to have the non-conformity remedied free of charge.

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Upload files containing malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Circumvent, disable, or interfere with security features of the Service
• Resell, redistribute, or provide access to the Service to third parties without authorization
• Use the Service to translate content that infringes third-party intellectual property rights
• Use automated means (bots, scrapers) to access the Service without our written permission
• Overload our infrastructure with excessive requests or denial-of-service attacks
• Upload content that is illegal, harmful, threatening, abusive, or violates human dignity

Violation of this policy may result in immediate account suspension or termination.

8.1 Your Content

You retain all intellectual property rights to the files and content you upload. By uploading content, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the translation service. This license terminates when you delete your content or close your account.

8.2 Translated Content

You own the output (translated content) generated by the Service from your input files. We do not claim any ownership rights over your translations.

8.3 Our Intellectual Property

The Service, including its design, features, logos, and underlying technology, is owned by Opus Lingua and protected by intellectual property laws. You may not copy, modify, or create derivative works of our Service without our written permission.

8.4 Feedback

If you provide suggestions, feedback, or ideas about the Service, you grant us a perpetual, royalty-free license to use such feedback without restriction.

Please be aware of the following regarding AI translations:

• AI-Generated: Translations are produced by artificial intelligence and may contain errors, inaccuracies, or inappropriate translations
• Not Human Review: Translations are not reviewed by human translators unless you arrange for separate services
• Critical Content: We strongly recommend human review for legal, medical, financial, or safety-critical content
• No Guarantee: We do not guarantee 100% accuracy or fitness for any particular purpose
• Continuous Improvement: Translation quality may vary and improve over time as AI technology evolves

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

File Retention

• Uploaded files are automatically deleted 30 days after upload
• Translated files are available for download for 30 days
• You may delete your files manually at any time

To the maximum extent permitted by applicable law, including Spanish law and EU directives:

• No Indirect Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• Maximum Liability: Our total liability for any claims arising from your use of the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.
• Exceptions: Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

For EU Consumers: This disclaimer does not affect your statutory warranty rights. We remain bound by the legal guarantee of conformity for digital services.

• We strive for high availability but do not guarantee uninterrupted service
• We may perform scheduled maintenance with advance notice when possible
• We may modify, suspend, or discontinue features with reasonable notice
• In case of service discontinuation, we will provide at least 30 days' notice and allow data export

15.1 Termination by You

You may terminate your account at any time through your Account Settings.

15.2 Termination by Us

We may terminate or suspend your account:

• Immediately for serious violations of these Terms
• With 14 days' notice for other violations, providing opportunity to remedy
• With 30 days' notice for any reason (general termination)

15.3 Effect of Termination

• Your right to use the Service will cease immediately
• You may request export of your data before termination takes effect
• Sections of these Terms that by their nature should survive will survive termination

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions.

16.1 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Spain.

We may modify these Terms from time to time. When we make changes:

• We will update the "Last updated" date at the top
• For material changes, we will notify you by email at least 30 days before the changes take effect
• Your continued use of the Service after changes take effect constitutes acceptance
• If you do not agree to the changes, you must stop using the Service

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Opus Lingua.
• Severability: If any provision is found to be unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of such right.
• Assignment: You may not assign your rights or obligations without our written consent. We may assign our rights to a successor entity.
• Language: These Terms are provided in English. In case of translation, the English version prevails.
